1. Acceptance of Terms
By accessing and using the services provided by SiteClaw LLC (the "Company," "we," "us," or "our"), including website design, managed hosting, website maintenance, and related services (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Agreement"). If you do not agree to these terms, you may not use our Services.
These Terms of Service constitute the entire agreement between you and SiteClaw LLC regarding the provision of Services, superseding any prior agreements or understandings. We reserve the right to modify these terms at any time, and your continued use of the Services constitutes acceptance of any changes.
2. Description of Services
SiteClaw LLC provides the following services to customers:
- Website Design: Custom website design and development tailored to your business needs
- Managed Hosting: Hosting infrastructure powered by Vercel, with uptime monitoring and technical support
- Website Maintenance: Ongoing updates, security monitoring, and technical support for your website
- Domain Management: Assistance with domain registration (typically through GoDaddy or Namecheap) or inclusion with select service packages
The specific scope, pricing, and terms for your individual Services are detailed in your Service Agreement or signed proposal. In the event of any conflict between this Terms of Service and your Service Agreement, your Service Agreement shall control regarding service-specific matters, provided that this Terms of Service governs general usage rights and restrictions.
3. User Accounts and Responsibilities
3.1 Account Creation
To access certain Services, you may be required to create an account or provide credentials. You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of all usernames, passwords, and authentication credentials
- Immediately notify us of any unauthorized use of your account
- Accept full responsibility for all activities occurring under your account
3.2 Client Responsibilities
You are responsible for:
- Providing accurate information and content for your website
- Ensuring that all content uploaded to your website complies with applicable laws and these Terms
- Managing your own domain registration or authorizing us to manage it on your behalf
- Maintaining backups of critical business data stored on your website
- Complying with all applicable laws and regulations in your jurisdiction
4. Intellectual Property Rights
4.1 Your Content
You retain all intellectual property rights to any content, copy, images, or materials you provide to us ("Your Content"). However, by providing Your Content to us for website design and hosting, you grant SiteClaw LLC a worldwide, non-exclusive, royalty-free license to use, display, and reproduce Your Content solely for the purpose of providing the Services to you.
4.2 Our Intellectual Property
SiteClaw LLC retains all rights to:
- Website design templates, frameworks, code, and other materials we create specifically for you (unless otherwise agreed in writing)
- General methodologies, tools, processes, and know-how
- Any pre-existing intellectual property or third-party components used in your website
Upon termination of our Services, you may retain a copy of your website's files and content, but you do not obtain ownership of the underlying code architecture or design systems.
4.3 Third-Party Components
Your website may incorporate third-party libraries, frameworks, fonts, or other components governed by separate open-source or proprietary licenses. You agree to comply with the terms of any such licenses.
5. Payment Terms
5.1 Pricing and Billing
Pricing for Services is outlined in your Service Agreement or proposal. Unless otherwise specified, Services are billed monthly, and payments are due upon invoice. Pricing is in USD.
5.2 Payment Processing
We process payments through Stripe, our authorized payment processor. By submitting payment information, you authorize SiteClaw LLC and Stripe to charge your payment method for the Services. You are responsible for maintaining valid payment information.
5.3 Late Payments
Invoices are due within 15 days of issue (Net 15) unless otherwise agreed in writing. Accounts more than 30 days past due are subject to a late fee of 1.5% per month (18% annually) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is less. We reserve the right to suspend Services if payment remains outstanding beyond 60 days.
5.4 Refunds and Credits
SiteClaw LLC does not offer refunds for Services already rendered. Credits or refunds for Service failures are handled according to our Service Level Agreement (SLA), which is provided separately. Refunds, if applicable, must be requested in writing within 30 days of the charge.
5.5 Taxes
You are responsible for any sales, use, or other taxes applicable to your location. If you provide a valid tax-exempt status, we will adjust invoices accordingly.
6. Acceptable Use Policy
6.1 Prohibited Uses
You agree not to use the Services, your hosted website, or any SiteClaw LLC resources for:
- Illegal activities or content that violates any applicable law
- Harassment, threatening, or defamatory content
- Phishing, fraud, or deceptive practices
- Malware, viruses, or other harmful code
- Spam, bulk unsolicited email, or other unsolicited communications
- Copyright or intellectual property infringement
- Adult content, gambling, or regulated activities (without prior written approval)
- Content that encourages illegal activity or violence
- Unauthorized access attempts or security breaches
- Excessive resource consumption that degrades service for other users
6.2 Enforcement
We monitor for violations and reserve the right to:
- Suspend or terminate your Services immediately
- Remove prohibited content without notice
- Pursue legal remedies for violations
- Report illegal activity to appropriate authorities
7. Service Uptime and Monitoring
7.1 Uptime Commitment
We use UptimeRobot to monitor the availability of your website. While we strive for maximum uptime, we do not guarantee 100% availability. Routine maintenance, security updates, and unforeseen technical issues may temporarily affect access to your website.
7.2 Monitoring
By using our Services, you authorize us to:
- Monitor website performance and availability
- Access logs and analytics to diagnose issues and improve Services
- Implement security updates and configuration changes as necessary
8. Limitation of Liability
8.1 Disclaimer of Warranties
SiteClaw LLC provides the Services "AS IS" without warranties of any kind, express or implied. We specifically disclaim warranties regarding:
- Merchantability or fitness for a particular purpose
- Uninterrupted or error-free operation
- Security or data protection
- Results or outcomes from using the Services
8.2 Limitation of Damages
To the fullest extent permitted by law, neither SiteClaw LLC nor its officers, directors, employees, or agents shall be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of revenue, profits, data, or goodwill
- Business interruption
- Damages arising from unauthorized access to your data or website
Our total liability for any claim arising from or related to these Terms or the Services shall not exceed the total amount paid by you to SiteClaw LLC in the 12 months preceding the claim.
8.3 Exclusions
Some jurisdictions do not allow the exclusion or limitation of certain damages. If such limitations are inapplicable in your location, our liability shall be limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless SiteClaw LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms of Service
- Your violation of any applicable law or third-party rights
- Your content or materials provided to us
- Any claims by third parties related to your website or business
10. Data Protection and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference. We collect and process certain personal and payment information as outlined in the Privacy Policy. By using the Services, you consent to such collection and processing in accordance with the Privacy Policy.
11. Third-Party Services and Links
Your website may include links to third-party websites, services, or integrations (such as Google Analytics, contact form processors, domain registrars, or other tools). SiteClaw LLC is not responsible for:
- Content, accuracy, or practices of third-party services
- Data collection or use by third parties
- Service interruptions or security issues with third-party providers
- Compliance with third-party terms of service
Your use of third-party services is governed by their respective terms and privacy policies.
12. Termination
12.1 Termination by You
You may terminate Services at any time by providing written notice to andrew@siteclaw.io. Your account will be terminated at the end of the current billing period unless stated otherwise.
12.2 Termination by SiteClaw LLC
We may terminate Services immediately without notice if:
- You violate these Terms of Service or our Acceptable Use Policy
- Your account is more than 60 days past due
- You engage in illegal or fraudulent activity
- Continued provision of Services would violate applicable law
We may terminate Services with 30 days' written notice for any other reason.
12.3 Effect of Termination
Upon termination:
- Your access to Services is immediately revoked
- Payment obligations for Services already rendered remain due
- Data may be deleted after a reasonable archival period (typically 30 days)
- You lose all rights to use any websites or hosting provided by us
13. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of our business relationship, except as required by law or court order. This does not apply to publicly available information.
14. Governing Law and Jurisdiction
These Terms of Service are governed by the laws of the State of Michigan, without regard to its conflicts of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.
15. Dispute Resolution and Binding Arbitration
15.1 Informal Resolution
Before pursuing formal legal action, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms of Service or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
15.3 Arbitration Procedures
- Each party shall bear its own costs and legal fees
- The arbitration shall be conducted in Michigan
- The arbitrator's decision shall be final and binding
- Either party may seek provisional remedies (such as injunctive relief) in court to prevent irreparable harm
15.4 Exceptions
Notwithstanding the foregoing, either party may bring an action in court to enforce or restrain breach of intellectual property rights or to seek injunctive relief for violations of the Acceptable Use Policy.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
17. Entire Agreement
These Terms of Service, along with your Service Agreement and our Privacy Policy, constitute the entire agreement between you and SiteClaw LLC regarding the Services, superseding all prior agreements, understandings, and communications.
18. Modifications to Terms
SiteClaw LLC reserves the right to modify these Terms of Service at any time. We will notify you of material changes via email or by posting an updated version on our website. Your continued use of the Services after such notification constitutes acceptance of the modified terms. The "Last Updated" date at the top of this document reflects the most recent revision.
